Terms of service

These terms are the agreement between you and Trees and Rain LLC for using Toolix. Please read them, especially the sections on lending and borrowing, disclaimers and limitation of liability.
Agreement to these terms
These terms of service (“terms”) are a binding agreement between you and Trees and Rain LLC (“we”, “us” or “our”). They cover the Toolix mobile app for iOS and Android, the website at www.toolixapp.com, and the related services we provide (together, “Toolix”).
By creating an account or using Toolix, you agree to these terms. If you don’t agree, don’t use Toolix. Some features, such as promotions, come with extra terms that we show you with them. Those extra terms also apply, and if they conflict with these terms, the extra terms control for that feature.
Your license to use Toolix
As long as you follow these terms, we give you a limited, personal, non-exclusive, non-transferable and revocable license to install and use the Toolix app on devices you own or control, for your own non-commercial use. Your use must also follow the rules of the app store you downloaded it from.
Toolix itself, including its software, design, text, graphics, name and logo, belongs to Trees and Rain LLC and our licensors. These terms don’t give you any other rights in it.
Who can use Toolix
- You must be at least 13 years old to use Toolix. Toolix is not directed to children under 13.
- If you are under 18 (or under the age of majority where you live), you may use Toolix only with the permission of a parent or legal guardian. That parent or guardian agrees to these terms for you and is responsible for how you use Toolix, including any purchases.
- To send or receive tips, you must be eligible to use Venmo under Venmo’s own terms. In the United States, that generally means you must be at least 18. Don’t add a Venmo username to Toolix unless you are eligible to use Venmo.
- You can’t use Toolix if we have previously removed your account for breaking these terms, or if the law prohibits you from using it.
Your account
You sign in to Toolix with Apple, Google or Facebook. We don’t offer sign-in with an email and password, and we never see the password for your Apple, Google or Facebook account. You can link more than one of these sign-in methods to the same Toolix account.
- One person per account. Your account is for you alone. Don’t share it, don’t create an account for someone else without their permission, and don’t create extra accounts to get around limits or a suspension.
- Keep it secure. Keep your devices and your Apple, Google or Facebook accounts secure. You are responsible for what happens under your Toolix account. If you think someone has used it without your permission, tell us right away through our contact form.
- Be accurate. Don’t use a name or profile photo that is misleading, offensive or belongs to someone else. Other Toolix users can see your display name and profile photo.
- Losing access. If you lose access to the sign-in account you use for Toolix (for example, you close it), you may lose access to Toolix too, unless you have linked another sign-in method. Contact us and we’ll try to help, but we can’t promise to restore access.
What Toolix is and isn’t
Toolix helps you organize the tools you own and coordinate lending and borrowing with friends. You can catalog your tools with photos and notes, connect with friends, browse what they own, request and approve loans, keep track of due dates and returns, and, if you like, thank a lender with a tip through Venmo.
Toolix is a coordination tool. It is not a rental service or a marketplace. In particular:
- We are not a party to any loan or other arrangement between users.
- We don’t own, hold, inspect, test, repair, insure, rent, sell or deliver any tool listed in Toolix.
- We don’t run background checks on users, and we don’t check that what users post about their tools is accurate.
- We don’t guarantee that any tool is available or in any particular condition, that it is safe or suitable for your job, or that it will be returned.
- Nothing in Toolix is insurance. If you want protection against loss, damage or injury, check your own insurance.
Lending and borrowing
When you lend or borrow a tool through Toolix, you are dealing directly with the other person. You are each responsible for your part of the loan.
Everyone
- Agree the details between yourselves: how long the loan lasts, when and where you hand the tool over, and anything else that matters to you. Toolix records requests and due dates to help, but the arrangement is yours.
- Be honest, be on time, and treat each other with respect.
If you lend
- Only lend tools you own or have the right to lend.
- Only lend tools that are in safe working condition, with their guards and safety features in place.
- Tell the borrower about any defect, hazard or special requirement you know of, and pass on the manual or safety instructions where you can.
If you borrow
- You use a borrowed tool at your own risk. Follow the manufacturer’s instructions and safety warnings, wear the right protective equipment, and only use tools you know how to use safely.
- Return the tool on time and in the same condition you received it, apart from normal wear. If it is lost, damaged or stops working while you have it, tell the lender promptly.
When something goes wrong
Loss, damage, injury and any other disputes that come out of a loan are between the users involved. We aren’t responsible for them, and we have no obligation to settle or pay for them. If you ask, we may choose to share information we have about a loan with the people involved, where our privacy policy and the law allow it, but we aren’t obliged to.
To the fullest extent the law allows, you release Trees and Rain LLC from claims, demands and damages that arise from disputes between you and other users, or from any tool you lend or borrow.
Don’t rely on Toolix as your only record of a loan. Loan records depend on what users enter. They are deleted when the lender deletes the tool, or when either person deletes their Toolix account.
Tips
You can add your Venmo username to Toolix so that people who borrow from you can send you a tip, and you can tip people who lend to you. When you choose to tip, Toolix opens the Venmo app with the recipient and amount filled in. The payment itself happens in Venmo.
- Tips are voluntary thank-yous between users. They are not rental fees, so don’t make a tip a condition of lending a tool.
- We don’t process, receive, hold or transfer money. We can’t reverse or refund a tip, and we aren’t responsible for tips that are sent, not sent, or sent to the wrong person or for the wrong amount.
- A tip shown in Toolix means a tip was started in the app. It doesn’t confirm that the payment was completed in Venmo.
- Venmo is a separate service that isn’t affiliated with us. Venmo’s terms and privacy policy apply to your payments, and any problem with a payment is between you, the other user and Venmo.
- If you add a Venmo username, it is shared with other Toolix users so they can tip you.
Toolix Pro and purchases
Toolix is free to download. The free tier currently lets you add up to 25 tools. Toolix Pro is an optional subscription. It currently removes that limit and shows a Pro badge on your profile. We may add or change Pro features, and change the free tier limit, over time (see Changes to these terms and to Toolix).
We don’t list prices here because they vary by country and store. The current price is always shown in the app and in the store before you buy.
Toolix Pro subscriptions
- Toolix Pro is an auto-renewing subscription, offered monthly or yearly. It is sold through the Apple App Store or Google Play, and the store processes your payment. We never see your card details.
- Payment is charged to your Apple ID or Google Play account when you confirm the purchase.
- Your subscription renews automatically for the same period, and your store account is charged for the renewal at the price shown in the store at that time, unless you cancel at least 24 hours before the end of the current period. On the App Store, the renewal is charged within the 24 hours before the current period ends.
- If the price of Pro changes, Apple or Google will tell you before the new price applies, and ask for your agreement where their rules require it.
- If we offer a free trial or introductory price, its terms are shown before you subscribe. If you buy a subscription during a free trial, any unused part of the trial ends when the subscription starts.
- You can manage or cancel your subscription at any time in your store account settings. On an iPhone or iPad, open the Settings app, tap your name, then tap Subscriptions. On Android, open the Google Play Store app, tap your profile icon, then tap Payments & subscriptions and Subscriptions. When you cancel, you keep Pro until the end of the period you have already paid for.
- Refunds for App Store purchases are handled only by Apple under its policies, so please ask Apple. Refunds for Google Play purchases follow Google Play’s refund policies. You can ask Google, or contact us and we’ll look at your request.
Support Toolix purchases
“Support Toolix” purchases are optional one-time in-app purchases. They are voluntary contributions toward building Toolix. They don’t unlock any features, content or Pro status, and they aren’t charitable donations. They are non-refundable, except where the law or the store’s refund policy requires a refund.
Unless you turn off “Share support in Activity Feed” in Settings, your friends see in their activity feed that you supported Toolix, including the amount and the store you used.
Promotions
From time to time we may run promotions, such as a Toolix shirt for yearly Pro subscribers. Each promotion is subject to the eligibility rules, limits and dates shown with it. If a promotion includes a physical item, we will email you to ask for your shipping address and size, and we use them only to send you the item. Promotional items have no cash value.
Your content
“Your content” means what you add to Toolix, such as tool names, details, notes, location labels and photos, messages with loan requests, your profile, and your Venmo username.
You own it
You keep ownership of your content. You give Trees and Rain LLC a worldwide, non-exclusive, royalty-free license to host, store, copy, display and process your content (for example, resizing photos and removing their metadata), only as needed to operate and provide Toolix. That includes showing it to other users in the ways Toolix is designed to. We don’t use your content for advertising.
This license ends when you delete the content or your account, except for copies that remain for a limited time as described in our privacy policy, for example in backups.
Who can see it
Toolix is built for sharing. Your tools, their photos, notes and location labels, and your lending activity and tips are shared with other Toolix users as part of the service, so friends can browse and borrow. Tool photos are stored so that anyone with the image link can view them. Don’t put anything in tool names, notes, location labels or photos that you wouldn’t want other users to see, such as your home address, people’s faces or personal documents.
Your responsibilities
- You are responsible for your content. Only upload photos you took yourself or have permission to use, and don’t post photos of other people without their permission.
- Don’t post content that is illegal, infringes anyone’s copyright, trademark, privacy or other rights, or is sexually explicit, violent, hateful, harassing or deliberately misleading.
- Keep your own copies of anything important. Toolix isn’t a backup service.
We don’t review content before it is posted, and we aren’t obliged to monitor it. We may remove or restrict content that we believe breaks these terms.
Feedback
If you send us ideas or suggestions, we may use them without any obligation to you.
Acceptable use
Toolix is for personal, non-commercial lending between people who know each other. When you use Toolix, you must not:
- Harass, threaten, bully, stalk or abuse anyone, or discriminate against anyone.
- Send spam, unwanted advertising or large numbers of unwanted friend requests.
- Impersonate any person or organization, misrepresent who you are, or create fake accounts.
- Scrape, crawl or harvest data from Toolix by automated means, or collect other users’ information (such as email addresses or Venmo usernames) for any purpose other than coordinating loans in Toolix.
- Access, or try to access, data or accounts that aren’t yours, or data you aren’t meant to see, even if a technical flaw makes it possible.
- Reverse engineer, decompile or disassemble the app, except where the law expressly allows it.
- Get around the free tier limit, subscription checks or any security or access control, or give yourself Pro features without paying for them.
- Interfere with or disrupt Toolix, overload it, probe it for security weaknesses, or upload malware. If you find a security problem, please report it through our contact form instead.
- Use Toolix to run a commercial tool rental or leasing business, charge rental fees, or advertise goods or services.
- List or lend anything illegal, stolen or dangerous, such as firearms, ammunition, explosives, hazardous chemicals, or tools under a safety recall that hasn’t been fixed.
- Send false requests through our website forms, including deletion requests for accounts that aren’t yours.
- Use Toolix for anything illegal, or to violate anyone else’s rights.
Reporting users and content
We don’t tolerate objectionable content or abusive users. If you see content or behavior that breaks these terms, or someone makes you feel unsafe, report it on our contact support page and choose the topic “Report a user or content”. Include the person’s display name, what happened, and screenshots if you have them.
If someone is in immediate danger, contact your local emergency services first.
We review reports promptly and remove content that breaks these terms. We may also warn the user who posted it, or suspend or close their account, and we may do so without notice.
Third-party services
Toolix works with services that we don’t control. Their own terms and privacy policies apply when you use them, and we aren’t responsible for their availability, content or practices. These include:
- Sign-in: Sign in with Apple, Sign in with Google and Facebook Login.
- Payments: the Apple App Store and Google Play for purchases, and Venmo for tips.
- Retailer links: a tool’s page may link to retailers such as The Home Depot, Lowe’s, Acme Tools and Amazon. Opening one takes you out of Toolix to the retailer’s own site, with a search for that tool’s brand, name or part number. These links are there for convenience and aren’t endorsements. We don’t control the retailer’s products, prices or availability, and anything you buy there is between you and the retailer.
No affiliation, and trademarks
Toolix and Trees and Rain LLC are not affiliated with, endorsed by or sponsored by The Home Depot, Lowe’s, Acme Tools, Amazon, Venmo, or any tool manufacturer or brand that appears in Toolix. Apple, App Store, Google, Google Play, Facebook, Venmo, and the names of retailers and tool brands are trademarks of their owners. We use them only to identify their products and services.
Privacy
Our privacy policy explains what information we collect, how we use and share it, how long we keep it, and the choices you have. Toolix is a social app. Other users can see your display name, your profile photo and whether you have Toolix Pro. Your tools, their photos and notes, and your lending activity and tips are shared with other users as part of the service. Other signed-in users may also be able to see other details on your account, such as your email address and invite code (see what other users can see). Unless you turn it off in Settings, your friends can also see when you support Toolix.
Deleting your account and termination
You can leave at any time
You can stop using Toolix whenever you like. To delete your account in the app, open Settings and tap Delete My Account. You can also ask us to delete your account or some of your data on our data deletion request page. Deletion is permanent. It removes your profile, tools, friend connections and the records of your loans, including other users’ records of loans with you. Our privacy policy explains what is deleted and what we keep for a limited time.
Deleting your account doesn’t cancel a Toolix Pro subscription. Cancel it in your App Store or Google Play settings.
We can suspend or close accounts
We may suspend or close your account, or remove your content, if you break these terms, if your use puts other users or Toolix at risk, or if the law requires it. Where it is reasonable, we will tell you why, unless doing so would put someone at risk or break the law. If you think we made a mistake, tell us through our contact form.
If your account is closed for breaking these terms, you aren’t entitled to a refund, except where the law or the store’s refund policy requires one.
The sections of these terms that by their nature should continue after your account ends will continue. These include your responsibilities for loans, the disclaimers, the limitation of liability, indemnification, disputes and the general terms.
Disclaimers
TOOLIX IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, TREES AND RAIN LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT TOOLIX WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT YOUR DATA WILL NOT BE LOST.
WE MAKE NO WARRANTY ABOUT ANY TOOL, USER, LOAN, TIP OR THIRD-PARTY SERVICE, INCLUDING THE CONDITION, SAFETY, QUALITY, LEGALITY OR AVAILABILITY OF ANY TOOL LISTED OR LENT THROUGH TOOLIX, OR THE CONDUCT OF ANY USER. USING TOOLS CARRIES A RISK OF PROPERTY DAMAGE AND PERSONAL INJURY. YOU ASSUME ALL RISK OF LENDING, BORROWING AND USING TOOLS.
Some places don’t allow implied warranties to be excluded, so some of these disclaimers may not apply to you. Nothing in these terms limits any rights you have under consumer protection law that can’t be waived.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TREES AND RAIN LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO TOOLIX OR THESE TERMS. THIS INCLUDES DAMAGES ARISING FROM ANY TOOL LENT OR BORROWED, FROM THE CONDUCT OF ANY USER, AND FROM ANY THIRD-PARTY SERVICE. IT APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN TOLD THAT SUCH DAMAGES ARE POSSIBLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO TOOLIX OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR TOOLIX PRO OR OTHER TOOLIX PURCHASES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$50.
Some places don’t allow these exclusions or limits, so they may not fully apply to you. Nothing in these terms excludes or limits our liability for fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, or any other liability that the law doesn’t allow us to exclude or limit.
Indemnification
To the extent the law allows, you agree to defend, indemnify and hold harmless Trees and Rain LLC and its members, managers, employees, contractors and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of:
- your content;
- your use of Toolix;
- any tool you lend or borrow, and any loan, tip or dispute between you and another user; or
- your breaking these terms, the law or anyone else’s rights.
We may take control of the defense of any such claim, and you agree to cooperate with us. This section doesn’t apply to the extent a claim was caused by our own wrongdoing.
Governing law and disputes
Talk to us first
Most problems can be sorted out quickly. Before you bring a claim against us, please send us a message through our contact form with your name, the email address on your Toolix account, a description of the problem and what you would like us to do. We will do the same before bringing a claim against you. Both of us agree to try in good faith to resolve the issue informally for 30 days after the message is received. If it isn’t resolved in that time, either of us may take it further.
Governing law and courts
These terms are governed by the laws of the U.S. state in which Trees and Rain LLC is organized, and by applicable U.S. federal law, without regard to conflict-of-law rules. Apart from small claims, disputes will be heard in the state or federal courts in that state, unless the law where you live gives you the right to bring the claim in your local courts.
Small claims
Either of us may bring an individual claim in a small claims court if the claim qualifies.
If you live outside the United States
If you are a consumer, you keep the protection of any mandatory laws of the country where you live, and you may bring a claim in the courts there if those laws allow it.
Additional terms for the Apple App Store
If you downloaded Toolix from Apple’s App Store, these terms also apply:
- Who the agreement is with. These terms are between you and Trees and Rain LLC only, not Apple. Trees and Rain LLC, not Apple, is solely responsible for Toolix and its content.
- Scope of license. Your license to use Toolix is non-transferable and lets you use it on Apple-branded products that you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions. Toolix may also be used by other accounts linked to yours through Family Sharing or volume purchasing.
- Apple’s standard license. Unless the App Store shows a separate license agreement for Toolix, Apple’s Licensed Application End User License Agreement also applies to your copy of Toolix from the App Store, together with these terms.
- Maintenance and support. Trees and Rain LLC is solely responsible for providing any maintenance and support for Toolix, as described in these terms or as the law requires. Apple has no obligation to provide any maintenance or support for Toolix.
- Warranty. Trees and Rain LLC, not Apple, is solely responsible for any product warranties, whether express or implied by law, to the extent they are not effectively disclaimed. If Toolix fails to meet any warranty that applies to it, you may notify Apple, and Apple will refund the purchase price you paid for the app, if any. To the fullest extent permitted by law, Apple has no other warranty obligation for Toolix. Any other claims, losses, liabilities, damages, costs or expenses caused by a failure to meet a warranty are Trees and Rain LLC’s responsibility, subject to these terms.
- Product claims. Trees and Rain LLC, not Apple, is responsible for addressing any claims by you or anyone else relating to Toolix or your possession or use of it. This includes product liability claims, claims that Toolix fails to meet any legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- Intellectual property. If anyone claims that Toolix, or your possession or use of it, infringes their intellectual property rights, Trees and Rain LLC, not Apple, is solely responsible for investigating, defending, settling and discharging that claim.
- Legal compliance. You confirm that you are not located in a country that is subject to a U.S. Government embargo or that the U.S. Government has designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Questions and claims. Send any questions, complaints or claims about Toolix to Trees and Rain LLC through our contact form at www.toolixapp.com/contact-support/.
- Third-party terms. When you use Toolix, you must follow any third-party agreements that apply to you, such as your mobile data plan.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these terms. Once you accept these terms, Apple has the right (and is deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
If anything in this section conflicts with the rest of these terms, this section controls for the copy of Toolix you downloaded from the App Store.
Additional terms for Google Play
If you downloaded Toolix from Google Play, the Google Play Terms of Service and Google Play’s policies also apply to your download and to purchases you make through Google Play. These terms are between you and Trees and Rain LLC, not Google. Google isn’t responsible for Toolix or its content and has no obligation to provide support for it.
Changes to these terms and to Toolix
Changes to these terms
We may update these terms from time to time, for example when Toolix changes or when the law or app store rules change. When we do, we will change the “Last updated” date at the top of this page. If a change is material, we will also let you know in the app, by push notification or by email before it takes effect.
If you keep using Toolix after changes take effect, you accept the updated terms. If you don’t agree with them, stop using Toolix and delete your account.
Changes to Toolix
We may add, change or remove features, change the free tier limit or what Toolix Pro includes, or stop offering Toolix. If a change significantly reduces what Pro includes, or if we stop offering Toolix, we will try to tell you in advance so you can cancel your subscription.
General terms
- Entire agreement. These terms, together with our privacy policy and any extra terms for specific features or promotions, are the entire agreement between you and Trees and Rain LLC about Toolix. They replace any earlier versions and any earlier agreements about Toolix.
- Severability. If any part of these terms is found to be unenforceable, it will be enforced to the extent possible, and the rest of the terms stay in effect.
- No waiver. If we don’t enforce a part of these terms, that doesn’t mean we give up the right to enforce it later.
- Assignment. You may not transfer your rights or obligations under these terms without our written consent. We may transfer ours as part of a merger, acquisition, reorganization or sale of assets, or by operation of law.
- Force majeure. We aren’t responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, outages at our service providers, internet or power failures, cyberattacks, labor disputes or government action.
- No other beneficiaries. Apart from Apple and its subsidiaries as described in Additional terms for the Apple App Store, no one other than you and Trees and Rain LLC has any rights under these terms.
- Relationship. These terms don’t create any partnership, joint venture, employment or agency relationship between you and us.
- Notices. We may send you notices in the app, by push notification or by email to the address on your Toolix account. You can send notices to us through our contact form.
